Terms of service
These Terms of Service govern your use of the Passée app for iOS, the passee.app website, and any related services (together, "Passée"). Passée is made by TA Studio ("we," "our," "us").
By downloading, installing, or using Passée, you agree to these Terms. If you don't agree, please don't use Passée.
These Terms sit alongside, and are supplemented by, Apple's Licensed Application End User License Agreement (the "Apple EULA"), which applies to all apps downloaded from the Apple App Store. Where these Terms and the Apple EULA overlap, the Apple EULA controls as to the relationship between you and Apple, and these Terms control as to the relationship between you and TA Studio.
1. The plain-language summary
- You can use Passée on any Apple device associated with your Apple ID, for personal, non-commercial use.
- Everything you enter into Passée (item names, photos, notes) stays yours. We don't claim ownership of your shelf.
- Passée gives helpful guidance about expiration dates and period-after-opening (PAO). It is not medical, legal, or safety advice. Always use your judgment, especially for medicines.
- If you subscribe to Passée Plus, it renews automatically unless you cancel through your Apple ID subscription settings.
- If we mess up and you're harmed, our financial liability is limited to what you paid us in the last twelve months.
- We can change these Terms over time, and we'll tell you when we do.
If any of this matters to you, the full text below is what governs.
2. Who can use Passée
Passée is intended for users who are at least 13 years old. If you're between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed these Terms and agrees to them on your behalf.
3. Your license to use Passée
We grant you a limited, personal, non-transferable, non-exclusive, revocable license to download and use Passée on Apple devices you own or control, for personal use only, in accordance with these Terms.
You may not:
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code, except to the extent this restriction is expressly prohibited by applicable law.
- Resell, sublicense, lease, rent, or redistribute Passée.
- Use Passée to build a competing product.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices.
- Use Passée in violation of any applicable law.
4. Your content
Everything you add to Passée (item names, photos you take, brands, notes, the name you enter during onboarding) is your content, and you retain all rights in it. We do not receive, view, store on our servers, or acquire any rights to your content. (See the Privacy Policy for how and where your content is stored.)
You are responsible for your content. By using Passée you confirm you have the right to save the photos and information you save.
5. Subscriptions: Passée Plus
Passée offers an optional paid tier, Passée Plus, which unlocks additional features (see passee.app or the in-app paywall for the current feature list).
5.1 Plans and prices
Passée Plus is sold on two auto-renewing subscription plans:
- Monthly: US $6.99 per month, billed every month.
- Yearly: US $49.99 per year, billed every twelve months.
Prices may vary by country, tax jurisdiction, and App Store promotional pricing. The actual price you pay will be shown at the point of purchase in the App Store.
5.2 Free trial
New subscribers are eligible for a 1-month free trial on either plan. At the end of the trial, your subscription converts automatically to a paid subscription at the price shown at signup unless you cancel at least 24 hours before the trial ends. The trial is available once per Apple ID; it cannot be redeemed a second time by subscribing to the other plan.
5.3 Billing and auto-renewal
Payment is charged to your Apple ID account at confirmation of purchase. Your subscription automatically renews at the end of each billing period (monthly or yearly, as applicable), and your Apple ID will be charged for the renewal within 24 hours before the end of the current period. The price charged will be the then-current subscription price, plus any applicable taxes.
5.4 Managing and canceling
You can cancel your subscription at any time by going to your Apple ID account settings on your device: Settings ▸ your name ▸ Subscriptions ▸ Passée. Cancellation takes effect at the end of the current billing period; your Passée Plus features stay active until then, and you are not refunded for the remainder of an already-paid period.
We cannot cancel an Apple subscription on your behalf. Only you can, through your Apple ID.
5.5 Refunds
Refund requests for subscriptions purchased through the App Store are handled by Apple, not TA Studio. You can request a refund at reportaproblem.apple.com. We have no ability to issue refunds for App Store purchases.
5.6 Changes to subscription terms
If we change the price or structure of Passée Plus, we will give you advance notice through the App Store and/or in the app, and give you the opportunity to cancel before the new terms take effect.
6. Not medical, legal, or safety advice
Passée is a tool for tracking expiration dates and period-after-opening windows. It is not a medical, food-safety, cosmetic-safety, or legal advice service.
- Our reminders and bucket classifications (passée / reaching passée / later) are based on publicly-available industry conventions for PAO values and on printed expiry dates you enter. They are guidance, not guarantees.
- For medicines, always follow the manufacturer's printed expiry and your pharmacist's guidance. Do not use Passée as a substitute for medical advice.
- For food, the USDA/FDA and their equivalents in other jurisdictions are the authoritative source. Passée's dates should never override your own judgment about whether something is safe to consume.
- For cosmetics, PAO conventions vary by brand and formula. Passée's defaults are reasonable middle-of-the-road guesses, not product-specific truth.
You are responsible for your own safety decisions. We disclaim any liability for reliance on Passée's dates, reminders, or classifications for safety-sensitive decisions.
7. Intellectual property
Passée, including the app's name, logo, visual design, typography choices, editorial copy, source code, and all materials we produce, is owned by TA Studio and protected by applicable copyright, trademark, and other intellectual property laws.
You receive a license to use Passée (Section 3), not to own it or any part of it.
8. Acceptable use
You agree not to use Passée to:
- Violate any law.
- Infringe anyone's rights.
- Attempt to disrupt, probe, or attack the app's integrity or Apple's services.
- Input content that is illegal, harmful, harassing, or that violates another person's rights.
We may, without notice, terminate your license to use Passée if you materially breach these Terms.
9. Disclaimers
Passée is provided "as is" and "as available." To the maximum extent permitted by law:
- We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that Passée will be uninterrupted, error-free, or that any date, bucket, or reminder is accurate.
- We do not warrant that the app's defaults match the safe shelf life of your specific products.
Some jurisdictions do not allow disclaimers of implied warranties. In those jurisdictions, the above disclaimers apply to the fullest extent permitted.
10. Limitation of liability
To the maximum extent permitted by law:
- TA Studio, its affiliates, officers, directors, employees, and agents are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of Passée.
- Our total cumulative liability to you for any claim arising from or relating to Passée is limited to the amount you paid us for Passée Plus in the twelve (12) months preceding the event giving rise to the claim, or US $50, whichever is greater.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. If you live in one of those jurisdictions, the above may not fully apply to you.
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless TA Studio from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your breach of these Terms, (b) your misuse of Passée, or (c) your violation of any law or third-party right.
12. Termination
- By you. You can stop using Passée any time by deleting the app from your device. If you have a Passée Plus subscription, you can cancel it in your Apple ID settings (Section 5.4). Deleting the app does not cancel an active subscription.
- By us. We may terminate your license to use Passée at any time, with or without notice, if we believe you have violated these Terms. Sections 4 (Your content), 6 (Not medical advice), 7 (Intellectual property), 9 (Disclaimers), 10 (Limitation of liability), 11 (Indemnification), and 14 (Governing law) survive termination.
13. Apple-specific terms
Because you download Passée from the Apple App Store, the following additional terms apply between you and Apple:
- These Terms are between you and TA Studio only, not Apple. Apple is not responsible for Passée or its content.
- Your license to use Passée is limited to use on any Apple-branded device you own or control, as permitted by the Apple EULA.
- Apple has no obligation to furnish any maintenance or support for Passée.
- If Passée fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price; Apple has no further warranty obligation.
- TA Studio, not Apple, is responsible for addressing claims relating to Passée, including product liability, legal conformity, and consumer protection claims.
- TA Studio, not Apple, is responsible for any third-party IP infringement claims relating to Passée.
- You represent that you are not located in any country subject to a U.S. Government embargo and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to Passée, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you.
14. Governing law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which TA Studio is established, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or Passée shall be resolved in the courts of that jurisdiction, except where mandatory local consumer protection law grants you the right to bring a claim in your jurisdiction of residence.
If you are a consumer in the European Economic Area, United Kingdom, or Switzerland, nothing in this section affects your statutory consumer rights under the law of your country of residence.
15. Changes to these Terms
We may update these Terms over time. When we do:
- We will post the updated Terms at passee.app/terms with a new "Effective" date at the top.
- For material changes (changes to subscription terms, dispute resolution, or liability), we will give you notice in the app before the changes take effect, and you will have the opportunity to cancel your subscription before the new terms apply.
- Continued use of Passée after the effective date of updated Terms means you accept the updated Terms.
16. Severability
If any part of these Terms is held unenforceable, the rest remains in force and the unenforceable part will be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
17. Entire agreement
These Terms, together with our Privacy Policy and the Apple EULA, are the entire agreement between you and TA Studio regarding Passée, and supersede any prior agreements.
